Title: Corporate Governance & Legal Operations Paralegal
Location: Manhattan, NY (Onsite 3 days per week)
Duration: Full time
Salary: $90,000 – $130,000 + performance-based bonus

Must have the following:
Corporate governance experience, contract management, regulatory/compliance exposure (RIA preferred), legal tech proficiency, strong organizational and communication skills
Responsibilities:
Corporate Governance
• Support governance processes across multiple entities, including preparing board materials, resolutions, minutes, and written consents
• Maintain entity records, minute books, and corporate filings
• Coordinate board meetings, calendars, and governance documentation
• Assist with entity formation, maintenance, and dissolution in partnership with external providers
Contracts
• Assist attorneys in reviewing and managing a variety of agreements including vendor, NDA, client, and employment-related contracts
• Track contract workflows including approvals, execution, renewals, and key obligations
• Maintain accurate contract databases and legal records
General Legal Support & Operations
• Conduct legal and regulatory research
• Coordinate with outside counsel, consultants, and vendors
• Support legal operations initiatives, including process improvements, automation, and AI-driven tools
• Maintain legal document repositories and virtual law libraries
• Provide administrative and scheduling support
Regulatory & Compliance Support
• Assist with regulatory filings and compliance requirements for investment advisory entities
• Support compliance audits, exams, and regulatory requests
• Track deadlines, filings, and compliance initiatives
• Maintain regulatory records, policies, and procedures
Requirements:
• 5–8 years of experience as a Legal Assistant or Paralegal, preferably in-house within financial services, investment management, or professional services
• Strong background in corporate governance and entity management
• Familiarity with regulatory frameworks impacting investment advisers (RIA experience preferred)
• Experience with legal technology tools (contract management, document automation, AI tools)
• Bachelor's degree required; legal studies or business preferred
• Paralegal certification is a plus
